Terms of service
These terms govern engagements between you and KII — please read before starting a project.
Scope
These terms apply to all projects and services delivered by KII (kii.bg) to professional clients. By engaging with KII — via email, phone, or an accepted proposal — you agree to these terms.
How engagements work
Every project begins with a written proposal defining scope, deliverables, timeline, and price. Work starts after the proposal is accepted in writing (email is sufficient). KII does not begin work without a mutually agreed proposal.
Payment
Custom software and integration projects require an initial fee before work begins. Ongoing monthly support and service evolution are billed as agreed in the proposal. 3D scanning and printing projects are quoted and invoiced per project. Payment terms are specified in each proposal.
Delivery and acceptance
Deliverables are defined in the proposal. KII delivers in phases where practical. The client is responsible for reviewing deliverables within a reasonable time and providing written acceptance. Silence does not constitute acceptance.
Intellectual property
For software projects: unless otherwise agreed in writing, KII retains ownership of the platform and codebase. The client receives a license to use the delivered service as described in the proposal. For 3D projects: KII retains all digital files (scans, models) as part of the service quality process; file transfer requires separate written agreement.
Limitation of liability
KII is not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the fees paid for the specific project or service giving rise to the claim. KII is not responsible for third-party systems, platforms, or services outside our direct delivery scope.
Confidentiality
Both parties agree to keep confidential any business information shared during the engagement. KII will not disclose client details or project specifics to third parties without written consent.
Governing law
These terms are governed by the laws of the Republic of Bulgaria. Disputes that cannot be resolved by mutual agreement shall be referred to the competent Bulgarian court.
Changes
We may update these terms from time to time. Active clients will be notified of material changes. For new engagements, the terms in effect at the time of proposal acceptance apply.
